Terms of Service

1. Introduction

Welcome to Stay Planner ("the App", "we", "us", "our"). These Terms of Service ("Terms") govern your use of the Stay Planner mobile application and related services available at stayplanner.io (collectively, "the Service").

The operator of Stay Planner is Tsun Ho Choy, an individual developer based in Hong Kong ("Developer", "I", "me"). By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. About Stay Planner

Stay Planner is a stay and tax day tracking application designed primarily for professionals who travel between Hong Kong/Macau and mainland China (but not limited to these jurisdictions). The Service helps you track days spent in different tax jurisdictions for assisting in determining tax residency, monitor compliance with Double Tax Agreement (DTA) thresholds, and optimize your travel schedule.

3. Services and Features

The Service provides the following features:

• Manual and automated stay tracking (entry/exit records)
• Double Tax Agreement (DTA) day counting and eligibility assessment
• Local tax residency tracking
• Six-year rule monitoring and alerts
• Import of official immigration records
• AI-powered stay schedule optimization
• Compliance dashboards and reporting
• Push notifications for compliance alerts
• Geolocation-based jurisdiction detection (when enabled)

Features may vary between the Free and Pro subscription tiers. The Developer reserves the right to modify, add, or remove features at any time.

4. Geolocation Feature

Stay Planner may request access to your device's geolocation services to determine which tax jurisdiction you are currently in. This feature is optional and will only activate when you explicitly enable it in the app settings.

• Geolocation data is approximate only and should not be relied upon for precise legal determinations
• Location accuracy depends on device GPS signal, network conditions, and other factors
• Continuous use of geolocation services may impact battery life
• You may disable geolocation at any time through app settings without affecting other core features

5. Registration and Account

To access the full features of the Service, you must create an account. You may register using an email and password or through third-party identity providers (Google, Apple, LinkedIn).

• You may only maintain one account per individual
• You are responsible for maintaining the confidentiality of your password and account credentials
• You must not impersonate another person or provide false registration information
• You are responsible for all activity that occurs under your account
• You must notify the Developer immediately of any unauthorized use of your account

The Developer reserves the right to suspend or terminate accounts that violate these Terms.

6. Purchases and Subscriptions

Stay Planner offers a Free tier and a Pro subscription. Pro subscription pricing is determined as follows:

• Pricing is displayed in your local currency at prevailing rates set by your app store (such as the Apple App Store, Google Play Store, or other device manufacturer stores) at the time of purchase.
• We make every effort to keep paywall information accurate and up to date. The price shown on the paywall screen is the definitive price you will be charged.

All purchases are processed through the app store associated with your device (such as the Apple App Store, Google Play Store, Samsung Galaxy Store, Huawei AppGallery, or similar). Payment is charged to your store account upon confirmation of purchase.

Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

7. License and Use

Subject to your compliance with these Terms, the Developer grants you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Service for your personal, non-commercial purposes.

• You must not share, resell, or redistribute the Service or any part of it
• You must not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
• You must not modify, adapt, or create derivative works based on the Service
• You must not use the Service for any unlawful purpose or in violation of these Terms
• You must not interfere with or disrupt the Service or servers connected to the Service

All intellectual property rights in the Service, including but not limited to code, design, text, graphics, and trademarks, are owned by Tsun Ho Choy and protected by applicable intellectual property laws.

8. Updates

The Service may automatically update from time to time. You must install the latest version to ensure proper operation and continued access to the Service. The Developer is not responsible for issues arising from use of outdated versions.

9. Modifications to Terms

The Developer may modify these Terms at any time. You will be notified of material changes through one or more of the following methods:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending you a notification through the app or by email
• Requiring you to review and accept the updated Terms upon next login

Your continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

10. Termination

You may terminate these Terms at any time by deleting the Service from your device and requesting account deletion through Settings > Account > Delete Account.

The Developer may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including but not limited to violations of these Terms.

Upon termination, all rights granted to you under these Terms will cease. Any fees paid are non-refundable except where required by applicable law.

11. Disclaimer and Limitation of Liability

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Developer does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. The accuracy and completeness of stay tracking calculations, tax residency assessments, and optimization recommendations are not guaranteed.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. Contracts (Rights of Third Parties)

A person who is not a party to these Terms shall have no rights under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce or enjoy the benefit of any provision of these Terms.
